Apostille
Certificate of Good Standing
The certificate of authentication, both domestic and foreign, only validates the signature of a notary public or certain local or state officers. |
Authentications and Apostilles
An apostille involves the addition of a certificate, either stamped on the document itself or attached to the document. |
Notary Public
A notary public is an officer who can administer oaths and statutory declarations, witness and authenticate documents and perform certain other acts varying from jurisdiction to jurisdiction. |
Legalisation - Apostille
Legalisation means confirming that a signature, seal or stamp appearing on a document is genuine. |
Foreign Authentication of Documents
The Apostille will then be embossed with the official seal. A fee per document will be payable. Once the process is completed the document is then considered legalised in the country. |
Hague Convention
Convention abolishing the requirement of legalisation for foreign public documents. |

Company Restorations
Company Restoration Requirements
In order to restore a company to the Register, you have to make an application by way of Claim Form in the High Court |
Restoration of a Company incorporated in England
In order for an application to the High Court to be made to restore to the Register a company which has been struck off and dissolved |
Main reasons for Restoration of a Company
There are mainly two reasons to restore a company are to continue trading or to release company assets such as property, pension funds or frozen bank accounts. |
Company Restoration guidance
In the case of a restoration Order the company is then regarded as having continued in existence as if it had not been struck off and dissolved. |
Dissolve a Private Limited Company
A private company that is not trading may apply to be struck off the register of companies. |
Striking Off - Defunct
The Registrar may consider a company to be defunct if annual returns and accounts are not filed on time. |
Voluntary Striking Off
Guidance to having your company removed from the register of companies. |
Bona Vacantia
The expression bona vacantia means ownerless goods. |
Sale of Land
Company Restorations - In the case of land with a registered title, this can be proved by producing office copy entries of the title |
Dissolved Company Assets
Before a company is dissolved, the members should ensure that any assets owned by the company are transferred out of the company's name. |
Restoration of Dissolved Companies
The legal name for ownerless property that passes to the Crown is Bona Vacantia |
Repayment of Funds to Restored Company
If a dissolved company is restored to the register of live companies then, unless the restoration order provides otherwise, the Bona Vacantia Division will be obliged to account to the company for the following financial assets. |
Sale of Shares
Company Restorations - For the shares to be bona vacantia, it must be established that the shares were beneficially owned by the company at the time it was dissolved. |
Application for Company Restoration
We will deal with all of the legal matters, appoint solicitors to submit your application to Court and the Registrar of Companies on your behalf. |
Company Restoration Fees
We offer two main restoration services depending on the urgency of your claim. Our Priority Service will take approximately 3 weeks from the time of completed documents to the complete restoration of the company. |
Bona Vacantia Division
The Companies Group of the Bona Vacantia Division deals with the property and rights which were beneficially owned by dissolved companies. |
Adverse Possession of land vested in the Crown
For the land to be bona vacantia, it must be established that the property was beneficially owned by the company at the time it was dissolved. |
Property Discharge Mortgage
For the mortgage to be vested in the Crown as bona vacantia it must be established in accordance with normal legal principles. |
Disclaiming Property
Before a disclaimer can be effected, however, it must be established that the land was vested in the company at the time it was dissolved. |
Property Freehold Reversions
If some of the tenants (but not all of them) wish to acquire the freehold interest, then it will be necessary for the tenants who do not wish to buy the freehold to confirm this in writing. |
Intellectual Property Guidelines
intellectual property rights such as patents, registered designs and copyrights which have vested in the Crown as bona vacantia |
Property Sale by Mortgage
In the case of property subject to a mortgage, the Treasury Solicitor will usually consent to the mortgagee selling the property under their statutory power of sale |
Guidance to Banks and other Financial Bodies
It is the current policy of the Treasury Solicitor to collect all credit balances owned by dissolved companies, regardless of the size of the amount. |
Domain Names
Assets, including domain names, only pass to the Crown as bona vacantia if the last registered office of the former owning company was in England or Wales |
Sale of Freehold Reversions
Although not bound to do so, it is the usual practice of the Treasury Solicitor to offer to sell freehold reversions to all direct tenants jointly |
Discretionary Payments
Where a company can still be restored, restoration to the Register is the appropriate remedy to enable its property and rights to be dealt with, and restoration is the only remedy possible if you wish to continue trading, because it is illegal to trade in the company's name after dissolution. |
