UK Combined Company Register
Registers must be kept at the Registered Office of the company, with the exception of the Members and Directors Interests - These may be kept elsewhere subject to notification to Companies House on forms 353a and 325/325a respectively.
A Company Register is designed to contain all the relevant statutory information required by the Companies Act 1989. Our Combined Company Register includes:
Applications and Allotments
Issue of the company's share capital. Useful when preparing the return of allotments and Annual Returns.
Register of Transfers
Movement of the company's share capital. Useful when preparing the Annual returns.
Particulars of a Mortgage or Charge
Instruments the amount secured, details of the assets charged, names and addresses of persons entitled to the charges.
Register of Debentures
Details of who is entitled to debentures that are issued by the company.
Register of Members (Shareholders)
Particulars of the Company's Shareholders. Records of the number of shares held by them, share certificate numbers, amounts paid for shares and details of any transfers, allotments, acquisitions or disposals.
Directors and Secretaries
Details of Company Secretaries and Directorships held or formerly held during the preceding 5 years. The Registrar of Companies must be informed of any changes, such as appointments and resignations, within 14 days of the occurrence.
Directors Interests
Details of the Directors' interests in shares and in other company securities. For the purpose of the register of directors' interests, directors includes - connected persons such as immediate family and companies owned by those directors.
Minutes
Minutes of all proceedings of general meetings and proceedings of its Directors, recording business transacted and all decisions reached. Must be signed by the chairman.
Share Certificates
Contains the full names and addresses of the shareholders corresponding exactly with the particulars in the Register of Members. Shares certificates must be issued within two months of the allotment of shares.
